BROKER AND AGENT USER TERMS

These Broker and Agent User Terms (these "User Terms") govern your individual use of the DepositLink platform (the "Platform") as an agent, broker, or employee of a real estate brokerage or property management company that has subscribed to the Platform (your "Company").
By accessing or using the Platform, you agree to these User Terms.
These User Terms are in addition to, and do not replace, the Master Services Agreement between DepositLink, Inc. ("DepositLink," "we," "us," or "our") and your Company. If there is any conflict between these User Terms and the Master Services Agreement, the Master Services Agreement controls.

1. AUTHORIZED USER STATUS

1.1. Authorized by Your Company: You have been granted access to the Platform because your Company has identified you as an "Authorized User" under its subscription agreement with DepositLink.

1.2. No Direct Relationship: You do not have a direct contractual relationship with DepositLink. Your access to the Platform is provided through your Company's subscription. Your Company is responsible for your acts and omissions while using the Platform.

1.3. Company May Revoke Access: Your Company may revoke your access to the Platform at any time, for any reason, without notice to you.

1.4. Termination of Company Subscription: If your Company's subscription to the Platform terminates or expires, your access will automatically terminate.

2. PERMITTED USE OF THE PLATFORM
You may use the Platform only for legitimate business purposes related to your Company's real estate brokerage or property management activities, including:

Requesting and collecting payments from buyers, renters, and tenants for escrow deposits, earnest money, security deposits, and rental payments

Sending payment requests to consumers on behalf of your Company

Viewing transaction history and reports for transactions you initiated
-
Communicating with consumers about payment status
-
Managing recurring payment schedules
-

3. PROHIBITED ACTIVITIES
You must not:

Use the Platform for any personal, non-business purpose
-
Share your login credentials with anyone else
-
Allow any unauthorized person to access the Platform using your credentials
-
Process payments unrelated to legitimate real estate transactions
-
Submit fraudulent, false, or misleading payment requests
-
Use the Platform to facilitate any illegal activity
-
Attempt to access data or transactions belonging to other users or brokers
-
Reverse engineer, decompile, or attempt to derive the source code of the Platform
-
Use the Platform in any way that could damage, disable, overburden, or impair DepositLink's systems
-
Attempt to circumvent any security measures or access restrictions
-

4. ACCOUNT SECURITY

4.1. Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your username, password, and any other access credentials. You must not share your credentials with anyone.

4.2. Notify Immediately: You must immediately notify DepositLink and your Company if:
-
You believe your credentials have been compromised
-
You become aware of any unauthorized access to your account
-
You suspect any security breach
-

4.3. Liability for Unauthorized Use: You are responsible for all activities that occur under your account, whether or not authorized by you, unless you have notified DepositLink and your Company of unauthorized access.

4.4. Strong Passwords: You must use a strong, unique password that meets DepositLink's password requirements.

5. YOUR RESPONSIBILITIES

5.1. Accurate Information: You must provide accurate, complete, and current information when using the Platform. You are responsible for verifying all payment details before submitting payment requests, including:

Consumer names and contact information
-
Bank account and routing numbers (when applicable)
-
Payment amounts
-
Transaction descriptions
-
Property addresses
-

5.2. Authorization: You represent and warrant that:
-
You have authority from your Company to use the Platform on its behalf
-
You have proper authorization to initiate each payment request
-
All payment requests you submit are for legitimate real estate transactions
-
You will comply with all applicable real estate laws and regulations
-

5.3. Compliance with Law: You must comply with all applicable laws and regulations when using the Platform, including, but not limited to:
-
Real estate licensing requirements
-
Fair Housing Act and anti-discrimination laws
-
Truth in Lending Act and RESPA (for real estate sales transactions)
-
Landlord-tenant laws (for rental transactions)
-
Privacy laws
-
Anti-money laundering requirements
-

5.4. Transaction Records: You should maintain your own records of all transactions you process through the Platform. Do not rely solely on the Platform for record-keeping.

5.5. Consumer Communications: When sending payment requests to consumers, you must:

Clearly identify yourself and your Company
-
Accurately describe the purpose of the payment
-
Provide accurate payment amounts
-
Not misrepresent the terms, conditions, or urgency of the payment
-
Comply with all applicable consumer protection laws
-

6. INTELLECTUAL PROPERTY

6.1. Platform Ownership: The Platform and all related materials are owned by DepositLink and are protected by copyright, trademark, and other intellectual property laws.

6.2. Limited License: You have a limited, non-exclusive, non-transferable right to access and use the Platform solely for the purposes described in Section 2 (Permitted Use of the Platform).

6.3. No Copying or Distribution: You may not copy, modify, distribute, sell, or lease any part of the Platform. You may not reproduce or display any DepositLink trademarks or logos without DepositLink's prior written permission.

6.4. Company Data: All transaction data created or processed through the Platform belongs to your Company, not to you individually. You may access this data only while you are an Authorized User.

7. PRIVACY AND DATA PROTECTION

7.1. Privacy Policy: Your use of the Platform is subject to DepositLink's Privacy Policy, available at https://app.depositlink.com/terms?type=privacy.

7.2. Data You Access: In the course of using the Platform, you may access:

Consumer personal information (names, email addresses, phone numbers)
-
Consumer financial information (bank account partial numbers, payment amounts)
-
Your Company's business information and transaction data
-

7.3. Confidentiality Obligation: You must treat all information you access through the Platform as confidential. You may use this information only to perform your job duties for your Company. You must not:

Disclose consumer information to any unauthorized third party
-
Use consumer information for any purpose other than the specific transaction
-
Retain consumer information after you are no longer an Authorized User
-
Use your Company's business information for personal benefit or to compete with your Company
-

7.4. Data Security: You must take reasonable precautions to protect the confidentiality and security of information accessed through the Platform, including:

Logging out when you are not actively using the Platform
-
Not accessing the Platform from public or shared computers
-
Not displaying sensitive information where it can be viewed by unauthorized persons
-
Following your Company's data security policies
-

7.5. Consumer Privacy Rights: You must comply with all applicable privacy laws and your Company's privacy policies when handling consumer information accessed through the Platform.

8. FEES AND FINANCIAL RESPONSIBILITY

8.1. Fee Payment and Modification: You must pay any fees as presented to you (if any). DepositLink reserves the right to change or add fees with thirty (30) days prior written notice. You may terminate your use of the Platform during such thirty (30) day notice period without incurring the new or modified fees.

8.2. Consumer Processing Fee: Consumers pay the standard processing fee when they submit payments through the Platform. You must not represent that this fee is waivable, refundable, or negotiable unless DepositLink has specifically authorized such representation.

9. DISCLAIMERS

9.1. AS-IS Platform: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." DEPOSITLINK MAKES NO WARRANTIES TO YOU, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2. No Guarantee of Availability: WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE AVAILABLE AT ALL TIMES OR FREE FROM ERRORS.

9.3. Payment Processing: WE DO NOT GUARANTEE THE SUCCESS, TIMING, OR COMPLETION OF ANY PAYMENT. ALL PAYMENTS ARE SUBJECT TO ACH NETWORK PROCESSING TIMES AND THIRD-PARTY PAYMENT PROCESSOR POLICIES.

9.4. Your Responsibility: YOU ARE SOLELY RESPONSIBLE FOR VERIFYING PAYMENT INFORMATION AND ENSURING THAT YOU HAVE PROPER AUTHORIZATION FOR EACH TRANSACTION.

10. LIMITATION OF LIABILITY

10.1. No Liability to You: DEPOSITLINK HAS NO LIABILITY TO YOU PERSONALLY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM. ANY CLAIMS YOU HAVE MUST BE BROUGHT BY YOUR COMPANY UNDER THE MASTER SERVICES AGREEMENT.

10.2. Exclusion of Damages: DEPOSITLINK IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOST COMMISSIONS, LOST TRANSACTIONS, OR BUSINESS INTERRUPTION.

10.3. Your Indemnity Obligation: If your actions while using the Platform cause DepositLink or your Company to incur damages, losses, or expenses, you may be personally liable to your Company or DepositLink, depending on the circumstances and applicable law.

11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless DepositLink and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

Your violation of these User Terms

Your violation of any applicable law or regulation
-
Unauthorized transactions you initiate
-
Your provision of inaccurate or misleading information
-
Your disclosure of confidential information
-
Your acts or omissions that cause harm to consumers or third parties
This indemnification obligation survives termination of your access to the Platform.

12. TERMINATION

12.1. Your Right to Stop Using: You may stop using the Platform at any time.

12.2. Company's Right to Revoke: Your Company may revoke your access at any time.

12.3. DepositLink's Right to Suspend: DepositLink may suspend or terminate your access if:

You violate these User Terms
-
We suspect fraudulent or unauthorized activity
-
Your Company's subscription terminates
-
Required by law
-

12.4. Effect of Termination: Upon termination:

Your right to access the Platform immediately ends
-
You must cease all use of the Platform
-
Your confidentiality obligations continue
-
You must return or destroy any Platform materials in your possession
-
You lose access to all transaction data (which belongs to your Company)
-

12.5. No Refunds: Termination does not entitle you to any refund or compensation.

13. DISPUTE RESOLUTION

13.1. Internal Disputes: If you have a dispute related to your use of the Platform, you should first address it with your Company. DepositLink is not a party to disputes between you and your Company.

13.2. Claims Against DepositLink: If you have a claim against DepositLink, your Company must bring the claim under the dispute resolution provisions in the Master Services Agreement. You may not bring individual claims against DepositLink except as required by law.

13.3. Governing Law: These User Terms are governed by the laws of the Commonwealth of Massachusetts.

14. GENERAL PROVISIONS

14.1. Changes to These Terms: DepositLink may update these User Terms at any time. We will provide notice of material changes by posting the updated terms on the Platform or by email. Your continued use of the Platform after changes take effect constitutes acceptance of the updated terms.

14.2. Entire Agreement: These User Terms, together with the Master Services Agreement between DepositLink and your Company, constitute the entire agreement regarding your use of the Platform.

14.3. Severability: If any provision of these User Terms is found invalid or unenforceable, the remaining provisions remain in effect.

14.4. No Waiver: DepositLink's failure to enforce any provision does not constitute a waiver.

14.5. No Assignment: You may not assign or transfer your rights under these User Terms.

14.6. No Third-Party Beneficiaries: These User Terms do not create any rights for third parties.

14.7. Independent Contractor: You are not an employee, agent, or representative of DepositLink.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE USER TERMS.
