DEPOSITLINK LANDLORD END-USER TERMS

WELCOME TO DEPOSITLINK

These Landlord User Terms (these "User Terms") govern your use of the DepositLink platform (the "Platform") as a landlord or property owner to request and receive payments (such as rent) from tenants.

By checking the box indicating your acceptance or by requesting a payment using the Platform , you agree to be legally bound by these User Terms. These User Terms are a binding agreement between you and DepositLink, Inc. ("DepositLink," "we," "us," or "our").

  1. 1. YOUR ACCOUNT AND RELATIONSHIP

    • Direct Agreement: These User Terms are a direct contractual agreement between you and DepositLink.

    • Access to the Platform: You may have been invited to use the Platform by a real estate brokerage or property manager (the "Introducing Party") that uses DepositLink. However, your use of the Platform to request payments is governed solely by these User Terms.

    • Termination of Access: DepositLink may suspend or terminate your access at any time if you violate these User Terms, if we suspect fraudulent or unauthorized activity, or as required by law.

  2. 2. PERMITTED USE OF THE PLATFORM

    You may use the Platform only for legitimate business purposes related to your rental properties, including:

    • Requesting and collecting payments from tenants for rental payments, security deposits, or other related fees.

    • Sending one-time payment requests to tenants.

    • Setting up and managing recurring payment schedules (autopay) for tenants.

    • Viewing transaction history and reports for transactions you initiated.

    • Communicating with tenants about payment status.

  3. 3. PROHIBITED ACTIVITIES

    You must not:

    • Use the Platform for any personal, non-business purpose.

    • Share your login credentials with anyone else.

    • Allow any unauthorized person to access the Platform using your credentials.

    • Process payments unrelated to legitimate real estate transactions.

    • Submit fraudulent, false, or misleading payment requests.

    • Use the Platform to facilitate any illegal activity.

    • Attempt to access data or transactions belonging to other users.

    • Reverse engineer, decompile, or attempt to derive the source code of the Platform.

    • Use the Platform in any way that could damage, disable, overburden, or impair DepositLink's systems.

    • Attempt to circumvent any security measures or access restrictions.

  4. 4. ACCOUNT SECURITY

    • Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your username, password, and any other access credentials. You must not share your credentials.

    • Notify Immediately: You must immediately notify DepositLink if you believe your credentials have been compromised or you become aware of any unauthorized access to your account.

    • Liability for Unauthorized Use: You are responsible for all activities that occur under your account, unless you have notified DepositLink of unauthorized access.

  5. 5. YOUR RESPONSIBILITIES

    • Accurate Information: You must provide accurate, complete, and current information when using the Platform. You are responsible for verifying all payment details before submitting payment requests, including consumer names, contact information, and payment amounts.

    • Authorization: You represent and warrant that you have authority to request payments for the properties you manage, all payment requests you submit are for legitimate real estate transactions, and you will comply with all applicable laws.

    • Compliance with Law: You must comply with all applicable laws and regulations, including, but not limited to:

      • Fair Housing Act and anti-discrimination laws

      • Landlord-tenant laws

      • Privacy laws

      • Anti-money laundering requirements

    • Transaction Records: You should maintain your own records of all transactions you process. Do not rely solely on the Platform for record-keeping.

    • Consumer Communications: When sending payment requests to tenants, you must clearly identify yourself, accurately describe the purpose of the payment, and provide accurate payment amounts.

  6. 6. PAYMENT PROCESSING AND RISK OF RETURNS

    • ACH Processing: You acknowledge that all payments are processed through the ACH (Automated Clearing House) network. DepositLink is a technology provider, not a bank or payment processor.

    • Risk of Returns (Chargebacks): You acknowledge that ACH transactions are subject to the NACHA Operating Rules. Under these rules, a tenant (the "Consumer") may be able to dispute a payment and have it returned (a "Return" or "chargeback") for certain reasons, such as a claim that the transaction was unauthorized.

    • Return Timeframe: A Consumer generally has sixty (60) days from the date the transaction posts to their account to dispute a transaction as unauthorized.

    • Your Liability for Returns (Clawback): If a payment you received is subject to a Return after funds have been credited to your account, you are fully liable for the amount of the returned payment. You expressly authorize DepositLink and its payment processors to initiate an ACH debit from your designated bank account(s) to recover any funds associated with a Return.

    • Tenant Disputes: Disputes between you and your tenant regarding the underlying transaction (e.g., related to the lease, property conditions, or refund entitlement) must be resolved directly between you and the tenant. DepositLink is not a party to your lease or real estate transaction.

  7. 7. FEES

    • Platform Fees: There are no subscription fees for you to use the Platform in this capacity.

    • Consumer Processing Fee: The tenant (Consumer) pays a non-refundable processing fee when they submit a payment. You must not represent that this fee is waivable, refundable, or negotiable.

  8. 8. INTELLECTUAL PROPERTY

    • Platform Ownership: The Platform is owned by DepositLink and protected by copyright, trademark, and other intellectual property laws.

    • Limited License: You have a limited, non-exclusive, non-transferable right to access and use the Platform solely for the purposes described in Section 2.

    • No Copying or Distribution: You may not copy, modify, distribute, sell, or lease any part of the Platform.

    • Your Transaction Data: You own the transaction data you create or process through the Platform. You grant DepositLink a license to use this data to provide the Platform services and as described in our Privacy Policy.

  9. 9. PRIVACY AND DATA PROTECTION

    • Privacy Policy: Your use of the Platform is subject to DepositLink's Privacy Policy.

    • Confidentiality Obligation: You must treat all tenant personal and financial information you access as confidential. You may use this information only to manage your rental properties and the specific transaction. You must not disclose this information to any unauthorized third party.

    • Data Security: You must take reasonable precautions to protect the confidentiality and security of information accessed through the Platform, including logging out when not in use and not accessing the Platform from public or shared computers.

  10. 10. DISCLAIMERS

    • AS-IS Platform: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". DEPOSITLINK MAKES NO WARRANTIES TO YOU, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

    • No Guarantee of Availability: WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE AVAILABLE AT ALL TIMES OR FREE FROM ERRORS.

    • Payment Processing: WE DO NOT GUARANTEE THE SUCCESS, TIMING, OR COMPLETION OF ANY PAYMENT. ALL PAYMENTS ARE SUBJECT TO ACH NETWORK PROCESSING TIMES, CAPABILITIES, AND LIMITATIONS.

    • Your Responsibility: YOU ARE SOLELY RESPONSIBLE FOR VERIFYING PAYMENT INFORMATION AND ENSURING THAT YOU HAVE PROPER AUTHORIZATION FOR EACH TRANSACTION.

  11. 11. LIMITATION OF LIABILITY

    • No Liability to You: DEPOSITLINK HAS NO LIABILITY TO YOU PERSONALLY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM.

    • Exclusion of Damages: DEPOSITLINK IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOST RENT, LOST TRANSACTIONS, OR BUSINESS INTERRUPTION.

  12. 12. INDEMNIFICATION

    You agree to indemnify, defend, and hold harmless DepositLink and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

    • Your violation of these User Terms;

    • Your violation of any applicable law or regulation;

    • Payment requests you initiate that are found to be fraudulent or unauthorized;

    • Your provision of inaccurate or misleading information;

    • Your disclosure of confidential information;

    • Your acts or omissions that cause harm to tenants or third parties; or

    • Any tenant payment Returns (chargebacks), including those returned for insufficient funds or as unauthorized.

    This indemnification obligation survives termination of your access to the Platform.

  13. 13. TERMINATION

    • Your Right to Stop Using: You may stop using the Platform at any time.

    • Effect of Termination: Upon termination, your right to access the Platform immediately ends. Your confidentiality obligations continue. You may lose access to transaction data, subject to our data retention policies.

  14. 14. DISPUTE RESOLUTION

    • Governing Law: These User Terms are governed by the laws of the Commonwealth of Massachusetts.

    • Disputes with Tenants: If you have a dispute related to your lease or payment, you must address it directly with your tenant.

    • Informal Resolution: If you have a dispute with DepositLink, please contact us first to try to resolve it informally.

    • Arbitration: If we cannot resolve the dispute informally, you agree that any dispute arising from these Terms or your use of the Platform will be resolved by binding arbitration administered under the rules of the American Arbitration Association. The arbitration will take place in Boston, Massachusetts.

  15. 15. GENERAL PROVISIONS

    • Changes to These Terms: DepositLink may update these User Terms at any time. We will provide notice of material changes. Your continued use of the Platform after changes take effect constitutes acceptance of the updated terms.

    • Entire Agreement: These User Terms and our Privacy Policy constitute the entire agreement regarding your use of the Platform.

    • Severability: If any provision is found invalid, the remaining provisions remain in effect.

    • No Assignment: You may not assign or transfer your rights under these User Terms.

    • Independent Contractor: You are not an employee, agent, or representative of DepositLink.
